ACTLEX SS

REFUND & CANCELLATION POLICY

Effective Date: 29 August 2026

ACTLEX SS (“ACTLEX SS”, “we”, “us” or “our”) operates a legal and professional services platform through which clients can communicate their requirements and obtain consultations and professional services coordinated with appropriate independent professionals, including advocates/lawyers, Chartered Accountants (CA), Company Secretaries (CS) and other relevant professionals.

This Refund & Cancellation Policy explains the applicable terms for consultation payments, service payments, cancellations and refunds made through ACTLEX SS.

1. ACTLEX SS Platform and Service Model

ACTLEX SS facilitates access to appropriate professionals based on the client's requirement.

The general process may involve:

Client Requirement → Requirement Assessment → Consultation → Professional Recommendation → Case/Service Summary → Client Approval → Service Coordination

The relevant professional provides the professional advice, opinion, recommendation or professional work relating to the matter.

ACTLEX SS may coordinate the consultation, documents, communications, payments, service instructions, follow-ups and other administrative aspects of the service.

2. Payments Must Be Made to ACTLEX SS

All payments for consultations and services booked or coordinated through ACTLEX SS must be made only through the official payment account, payment gateway or other payment method authorised by ACTLEX SS.

Clients should not make direct payments, cash payments or transfers to an advocate, lawyer, CA, CS or other professional for a service booked through ACTLEX SS unless ACTLEX SS expressly authorises or communicates otherwise in writing.

The client-facing price communicated by ACTLEX SS is the applicable price for the relevant consultation or service.

The internal commercial arrangement between ACTLEX SS and the professional, including professional payouts, commissions, taxes, deductions or other internal financial arrangements, is not part of the client's service price or this Refund & Cancellation Policy.

3. Consultation Booking and Payment

When a client books a consultation through ACTLEX SS, the applicable consultation fee is payable in advance through an authorised ACTLEX SS payment channel.

ACTLEX SS may coordinate the consultation through Google Meet, telephone, video conference or another suitable communication method.

The consultation may involve the client, the relevant professional and an ACTLEX SS representative for coordination and administrative purposes.

4. Documents Before Consultation

In some matters, ACTLEX SS or the relevant professional may request documents or information before the consultation.

This may be necessary to understand the client's requirement or allow the professional to review relevant background information before providing the consultation.

The client may therefore be required to submit documents before the consultation is scheduled or completed.

5. Full Refund Where Consultation Cannot Be Completed

If ACTLEX SS is unable to successfully arrange and complete the paid consultation with the appropriate professional, the client will generally be eligible for a full refund of the consultation amount paid.

This may apply where the consultation cannot be completed because of circumstances attributable to ACTLEX SS or the coordinated professional, subject to verification of the relevant circumstances and payment.

The refund will ordinarily be processed through the original payment method or another authorised payment mechanism.

6. Consultation Successfully Completed

Once the scheduled consultation has actually taken place with the appropriate professional, the consultation service will ordinarily be treated as completed.

Accordingly, the consultation fee is ordinarily non-refundable merely because:

the client changes their mind;

the client decides not to proceed with the recommended service;

the client does not agree with the professional's recommendation;

the client chooses another professional;

the client does not wish to continue with the matter; or

the client is dissatisfied with the options discussed during a completed consultation.

However, where ACTLEX SS determines that a partial refund is appropriate in exceptional circumstances, ACTLEX SS may provide a refund of up to 50% of the consultation fee.

Such a partial refund is discretionary and will be determined based on the circumstances of the individual matter.

7. Client's Preference Regarding the Professional

A client may, in exceptional circumstances, inform ACTLEX SS that they do not wish to proceed with the professional after a completed consultation.

A preference or dissatisfaction regarding the professional does not automatically create an entitlement to a refund because the consultation itself has been completed.

Where ACTLEX SS decides to provide a partial refund in such circumstances, the refund may be limited to 50% of the consultation fee.

8. Professional Recommendation and Case Summary

After consultation, the relevant professional may recommend a particular service or course of action based on the client's circumstances, information and documents.

ACTLEX SS may provide the client with a case summary or service summary containing information such as:

the client's stated requirement;

relevant information discussed during consultation;

the professional's recommended service;

documents required;

proposed scope of work;

applicable service price; and

other relevant service information.

The client is free to decide whether to proceed.

No subsequent service should be treated as approved until the client provides the required confirmation or approval.

9. Service Approval

If the client accepts the recommended service, ACTLEX SS may proceed to coordinate the approved service with the relevant professional.

The applicable service price will be communicated to the client before the client chooses to proceed.

The client should review the scope, price and applicable terms before making payment.

10. Transparent Service Pricing

ACTLEX SS aims to provide the client with the applicable service price before the client approves the service.

ACTLEX SS will not knowingly add undisclosed charges above the communicated ACTLEX SS service price for the same approved scope of work.

Where additional work, a materially changed requirement, additional proceedings, new documents, new disputes or other circumstances require a change in scope, the client will be informed of the applicable additional service requirement or price before the additional work is undertaken, wherever reasonably practicable.

11. Court Fees and Government / Statutory Charges

Court fees, government fees, statutory charges, filing fees, stamp duty, process fees and other official or third-party charges are separate from ACTLEX SS's service charges unless expressly stated otherwise.

The applicability and amount of such charges may depend upon:

the nature of the matter;

jurisdiction;

claim or transaction value;

type of filing;

applicable law;

stage of proceedings; and

other circumstances.

Accordingly, such charges may not always be ascertainable at the time of the initial consultation.

Where applicable and reasonably ascertainable, ACTLEX SS may communicate such charges to the client through the case summary or before the relevant step is undertaken.

If a statutory or official charge becomes applicable later, the client may be informed when the requirement becomes known.

12. Service Payments

Payments for an approved service must be made through an authorised ACTLEX SS payment channel.

Depending on the service and agreed payment arrangement, ACTLEX SS may allow:

full payment;

instalment payment; or

another agreed payment schedule.

The applicable payment schedule will be communicated to the client before or at the time the service is approved.

13. EMI / Instalment Payments

Where an approved service is payable through instalments, each instalment forms part of the agreed payment arrangement.

Cancellation or discontinuation of a matter does not automatically cancel amounts that have already become due for work performed or services already commenced.

Any refund or adjustment will be determined with reference to:

payments received;

work completed;

work already commenced;

applicable service scope;

professional work undertaken;

third-party charges already incurred; and

other applicable circumstances.

14. Documents Required for the Service

After the client approves a service, ACTLEX SS or the relevant professional may request additional documents required to perform the service.

The client is responsible for providing complete, accurate and genuine information and documents within a reasonable time.

Where the client delays, withholds or provides incomplete or inaccurate documents, the service timeline may be affected.

Such circumstances may also affect the scope of work and refund assessment.

15. Litigation and Court Representation

Where a client chooses to proceed with litigation or another continuing legal matter, the relevant professional may undertake the agreed professional work and representation.

Depending on the matter, ACTLEX SS may coordinate an ongoing communication channel or WhatsApp group involving appropriate members of:

the client;

the advocate/lawyer;

the professional's team; and

the ACTLEX SS team.

The group may be used for documents, updates, procedural communication, coordination and other matter-related communication.

16. No Guarantee of Legal or Judicial Outcome

ACTLEX SS does not guarantee any particular result or outcome of a legal proceeding or professional matter.

The outcome of litigation or another legal proceeding may depend upon factors including:

applicable law;

facts and evidence;

documents;

pleadings;

conduct of the parties;

procedural developments;

decisions of courts or authorities;

opposing-party actions; and

other circumstances beyond the control of ACTLEX SS or the professional.

A client is therefore engaging for the agreed professional service and scope of work, not for a guaranteed result.

17. No Refund Merely Because a Case Is Lost

An adverse judgment, dismissal, delay, unsuccessful notice, failure to obtain expected relief, unsuccessful settlement, partial success or other adverse outcome does not by itself create an automatic right to a refund where the agreed professional service has been provided or undertaken.

Professional fees relate to the work and services agreed upon, and are not a guarantee of success.

This does not limit any refund or remedy that may otherwise be required under applicable law where a service was not provided as agreed or where the client has another legally enforceable right.

18. Cancellation After Service Has Started

If a client chooses to cancel or discontinue an approved service after substantive work has commenced, the refund, if any, will be assessed based on the circumstances.

The assessment may consider:

work already completed;

work already commenced;

professional time and work undertaken;

documents prepared or reviewed;

filings or procedural steps undertaken;

communication and coordination already performed;

third-party or official charges already incurred; and

the remaining scope of the service.

Amounts relating to services already performed or costs already incurred may not be refundable, subject to applicable law.

19. Cancellation Before Service Commences

If the client requests cancellation before substantive work on an approved service has commenced, ACTLEX SS may assess the cancellation request based on:

whether work has already begun;

whether professional resources have already been committed;

whether any third-party or official costs have been incurred; and

the specific service terms communicated to the client.

Where appropriate, an eligible refundable amount will be communicated to the client.

20. No Direct Payment to the Professional

For services coordinated through ACTLEX SS, clients should not make separate or additional payments directly to the assigned professional for the same approved service unless ACTLEX SS expressly authorises such payment in writing.

If a professional requests a payment directly from a client in connection with an ACTLEX SS-coordinated service, the client should contact ACTLEX SS before making such payment.

21. Refund Processing

Where a refund is approved, ACTLEX SS will ordinarily process the refund through the original payment method or another authorised payment mechanism.

The actual time for the refund to appear in the client's account may depend upon the applicable bank, payment gateway, card issuer or other financial institution.

22. Taxes

Applicable taxes, including GST where applicable, may be charged in accordance with applicable law and the applicable invoice or payment documentation.

Refunds, where approved, may be subject to applicable tax, accounting and invoicing requirements.

23. Refund Request Procedure

A client requesting a refund should contact ACTLEX SS through its official communication channels and provide:

name;

registered mobile number or email;

consultation/service details;

payment or transaction reference;

date of payment; and

reason for the refund request.

ACTLEX SS may review relevant payment records, consultation records, service records, communications, documents and work completed before determining the applicable refund.

24. Exceptional Circumstances

Nothing in this Policy is intended to exclude or restrict any refund, remedy or right that cannot lawfully be excluded or restricted under applicable law.

ACTLEX SS may consider exceptional circumstances on a case-by-case basis where appropriate.

25. Changes to Scope

If the client's requirement materially changes after approval of a service, the originally agreed price and scope may no longer apply.

Examples may include:

additional legal proceedings;

additional documents;

new facts or disputes;

additional filings;

appeals;

additional hearings or stages;

change in jurisdiction; or

substantially expanded professional work.

Where additional work or charges become necessary, ACTLEX SS will communicate the revised scope and applicable price before proceeding with the additional work, wherever reasonably practicable.

26. Professional Independence

ACTLEX SS facilitates and coordinates access to appropriate professionals.

Professional opinions, legal strategies, tax advice, accounting opinions, company-secretarial advice and other specialised professional decisions remain the responsibility of the relevant professional.

ACTLEX SS does not guarantee the professional's opinion or the ultimate outcome of the matter.
